By clicking "I Accept" or checking the acceptance box during the Brand Ambassador Program signup process, you ("Ambassador" or "you") agree to be bound by these Terms. This constitutes a legally binding agreement between you and Graeter's Ice Cream Company ("Graeter's," "Company," "we," or "us"), a company organized under the laws of the State of Ohio. Your electronic acceptance has the same legal effect as a handwritten signature under the federal E-SIGN Act and Ohio's Uniform Electronic Transactions Act.
This Agreement is evergreen and remains in effect until terminated. Either party may terminate without cause by providing thirty (30) calendar days' written notice via email. Graeter's may terminate immediately if you: (i) are no longer able to fulfill your obligations under this Agreement; (ii) violate our brand standards or content guidelines; (iii) fail to comply with FTC or platform disclosure rules; (iv) promote competing brands; (v) abuse your discount code or gifting privileges; (vi) create content that could expose Graeter's to legal liability or reputational harm; (vii) are arrested for or accused of an offense involving moral turpitude, or are involved in any incident or publicity that, in Graeter's reasonable judgment, casts you in an unfavorable or controversial light, damages your public image, reduces your effectiveness to promote Graeter's, or has the potential to impact Graeter's reputation; or (viii) breach any material term of this Agreement.
Upon termination, you must, within fourteen (14) days, cease using all Company trademarks, assets, and discount codes. Graeter's shall instruct you whether you must remove all Ambassador Content (as defined herein) from your platforms within the fourteen (14) day period. If this Agreement is terminated immediately by Graeter's for any of the reasons listed in the preceding paragraph, you must immediately remove all Ambassador Content from your platforms within twenty-four (24) hours of receiving notice of termination.
If this Agreement is terminated by either party without cause, unpaid commissions earned before termination will be paid per LinkConnector's standard schedule, subject to the return window in Section 3. If this Agreement is terminated by Graeter's for cause for any of the reasons listed within this Section, Graeter's shall retain all unpaid commissions earned prior to termination.
Content Standards. All content you create must be authentic, family-friendly, and aligned with our Brand Pillars: Stubborn, Quality, Joy, Family, and Love. Your tone should be Proud, Fun, Slightly Obsessed, and Approachable. Full brand guidelines are available upon request and through our Ambassador Discord community.
The following content is prohibited while representing the Graeter's brand:
We do not require pre-approval of content, but we reserve the right to request removal or revision of any content that violates this Agreement. You agree to comply with takedown requests within twenty-four (24) hours.
In the event your ability to perform services under this Agreement is impacted by the ban or shutdown of any platform within the United States, any Ambassador Content intended for that platform will be syndicated to an alternative platform that most closely matches the engagement and following of your original account. The Ambassador Content will be revised as needed to be shared on the alternative platform.
FTC Compliance. You are solely responsible for complying with the FTC Endorsement Guides and all applicable laws. Every piece of sponsored content must clearly and conspicuously disclose your relationship with Graeter's as a paid and/or compensated endorser in connection with the relevant product by using #ad or #sponsored, or other appropriate disclosure language, in the first eighty (80) characters or sooner of the copy and not buried in a string of hashtags, and, in the case of a video, embedded in each image(s), frame, or video(s). If the content includes a video, the disclosure should also be spoken in the video in addition to making the written disclosures. You must also use each platform's built-in branded content or paid partnership tools where available. Graeter's is not responsible for monitoring your compliance. Failure to disclose is grounds for immediate termination.
Affiliate Links. Use only the tracking links and codes provided through LinkConnector. Do not alter or tamper with tracking mechanisms.
Discord Community. You may be invited to a private Discord community managed by our social media team. All discussions within the community are confidential and may not be shared publicly.
Analytics. You shall provide final files of the Ambassador Content and analytics related to the Ambassador Content (including but not limited to Impressions, Reach, Click Throughs, Views, etc.) within seventy-two (72) hours of the Ambassador Content going live.

Tier Advancement. Once you reach a tier, you stay there for the duration of the Agreement; there is no demotion. We may place select high-potential Ambassadors at Tier 2 or 3 from the start at our discretion.
Cookie Window. Sales are attributed via a thirty (30) day cookie. If a customer clicks your link and purchases within 30 days, you earn the commission.
Returns. If a referred customer returns a product or receives a refund within thirty (30) days of purchase, the associated commission will be reversed.
Payment. All tracking, reporting, and payments are managed through LinkConnector (linkconnector.com) per their standard payment terms and minimum payout thresholds. You are responsible for providing accurate payment information and for all taxes owed on commission income. We may require a W-9 and will issue a 1099-NEC for earnings of $600 or more per calendar year.
Monthly Product. You may request one (1) complimentary product shipment per month, provided you have made at least one personal purchase that month. Graeter's covers shipping. Additional shipments may be approved at our sole discretion if your sales volume justifies it.
Discount Code. You will receive a personal 25% discount code for your own use only. This code is non-transferable and may not be shared publicly or with third parties. If we determine the code is being abused or shared, we may deactivate it and terminate this Agreement immediately.
During the term of this Agreement, you may not promote, endorse, or create sponsored content for any competing ice cream, frozen custard, gelato, sorbet, frozen yogurt, or other frozen dessert brand. This includes but is not limited to brands such as Jeni's, Ben & Jerry's, Haagen-Dazs, Tillamook, Blue Bell, Baskin-Robbins, Cold Stone Creamery, United Dairy Farmers, and Talenti. Incidental appearances of competing products in non-promotional, organic content are not restricted, but you may not feature, tag, or endorse them. This exclusivity obligation ends when the Agreement terminates.
License Grant. You grant Graeter's a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, distribute, display, and create derivative works from all content you create in connection with this program ("Ambassador Content"). This includes use in paid advertising, organic social media, our website, email marketing, print materials, in-store displays, and through our third-party marketing agencies, PR firms, and retail partners. You agree that Graeter's use of the Ambassador Content does not require your prior approval.
Modification Rights. We may edit, crop, resize, add text or graphics, and otherwise modify Ambassador Content to maximize its marketing effectiveness. We will not modify content in a way that is intentionally designed to make you appear foolish or to place you in a false, defamatory light.
Survival. This license is perpetual and survives termination. We may continue using Ambassador Content indefinitely after the relationship ends and are not required to recall any materials containing Ambassador Content that were disseminated during the Term of this Agreement. Any use by persons or entities other than Graeter's or its affiliates after the expiration of the Term will not constitute a breach of this Agreement by Graeter's.
Our IP. The Graeter's name, logo, crown icon, taglines, and all other Company intellectual property remain our exclusive property. Your right to use our IP is limited to the term of this Agreement and authorized promotional activities only.
Moral Rights. To the fullest extent permitted by law, you waive any moral rights in Ambassador Content, including rights of attribution and integrity.
You agree to indemnify, defend, and hold harmless Graeter's, its officers, directors, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) (collectively "Claims") arising from: (i) your breach of this Agreement; (ii) your Ambassador Content (including IP infringement, defamation, or privacy claims); (iii) your failure to comply with FTC guidelines or applicable laws; (iv) your misappropriation of any third-party's intellectual property or other rights; or (v) your negligent or willful misconduct. Graeter's will indemnify you against Claims arising from our breach of this Agreement or our modification of Ambassador Content in a manner constituting defamation or false light.
NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THIS AGREEMENT. GRAETER'S TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
During and after the term of this Agreement, neither party shall make disparaging or derogatory statements about the other party, its products, services, or personnel, whether publicly or privately, including on social media. This provision survives termination.
You agree to protect Confidential Information from unauthorized disclosure or dissemination, using no less than a reasonable standard of care. You will use Confidential Information only to the extent strictly necessary to perform your obligations under this Agreement. You will not disclose Confidential Information to any person or entity without Graeter's consent, except that you may disclose Confidential Information as needed to your legal advisors, provided they agree to abide by the same terms of this Section and that you will be liable for any breach of their confidentiality obligations.
"Confidential Information" means all non-public information shared by Graeter's, including but not limited to operations, business plans, costs, prices, business opportunities, personnel, commission rates, sales data, product launch plans, marketing strategies, and Discord community discussions. Confidential Information will not include information that (a) is or becomes generally known or available to the public without your involvement; (b) you can demonstrate to have had in your possession prior the time it was disclosed by or obtained from Graeter's; (c) you independently developed without the use of or reference to any Confidential Information; or (d) you lawfully obtained from a third party who has the right to make such disclosure. Any combination of individual features of the Confidential Information will not fall within the exceptions above merely because those individual features are publicly available or in your possession.
Upon the termination of this Agreement, you will immediately and at your cost (i) return to Graeter's all Confidential Information and (ii) destroy any materials you prepared that contain any Confidential Information. This obligation survives termination for two (2) years.
Independent Contractor. You are an independent contractor, not an employee, partner, or agent of Graeter's. You have no authority to bind the Company and are responsible for your own taxes, insurance, and expenses.
Governing Law. This Agreement is governed by the laws of the State of Ohio. Disputes will be resolved through good-faith negotiation, followed by binding arbitration in Cincinnati, Ohio under AAA Commercial Arbitration Rules. Either party may seek injunctive relief in court to prevent irreparable harm without posting bond.
Amendments. We may update these Terms (including commission rates, tier thresholds, and gifting policies) with thirty (30) days' written notice. If you disagree with the updated terms, you may terminate per Section 1.
Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
Entire Agreement. These Terms constitute the entire agreement between you and Graeter's regarding the Ambassador Program and supersede all prior discussions or agreements on this subject. This Agreement may not be assigned by you without our written consent.
Waiver. The failure of either party to enforce, or delay enforcement of any of their respective rights shall not be deemed a continuing waiver or a modification of this Agreement.
By clicking "I Accept" or checking the acceptance box during the Brand Ambassador Program signup process, you acknowledge that you have read, understood, and agree to be bound by all of the terms and conditions set forth in this Agreement. You confirm that you are at least eighteen (18) years of age and have the legal capacity to enter into this Agreement.
Your acceptance will be recorded with your name, email address, IP address, and a timestamp for our records.
